Terms of Service

Departure Day is a service of Twin Ledger, Inc. (“Twin Ledger,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Departure Day web application, mobile applications, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to create an account. By using the Service you represent that you meet this requirement and that any information you provide is accurate and complete. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of the Service

Departure Day is a travel planning and trip organization platform. It allows users to create and share day-by-day trip itineraries, research cruise sailings, coordinate group travel, track travel expenses, upload and store trip documents, and invite travel advisors to shared plans.

Departure Day is not a travel agency, online travel agency (OTA), or booking platform. We do not sell travel products, earn commissions on bookings, or have financial relationships with cruise lines, airlines, hotels, or other travel suppliers. Cruise and itinerary data provided through the Service is for research and planning purposes only and does not constitute an offer, guarantee of availability, or guarantee of pricing. All bookings are the responsibility of the user and, where applicable, their travel advisor.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at contact@twinledger.com if you believe your account has been compromised. We are not liable for losses resulting from unauthorized account access where you have not notified us.

Twin Ledger subscribers may access Departure Day using their existing Twin Ledger credentials. Use of those credentials is also subject to the Twin Ledger terms of service.

4. Subscription Plans and Payment

The Service is offered on the following plans:

Basic:Free. Includes up to three trips per year, group travel for up to ten travelers, twenty documents per trip, full cruise intelligence, and the ability to invite your travel advisor.

Voyager:$15 per month or $99 per year. Adds unlimited trips and group size, expanded document storage, flight and cruise schedule change alerts, and live expense tracking via Plaid.

Privé:$50 per month or $399 per year. Adds private flight and yacht charter planning, document intelligence, assistant and family office access, and priority support. Twin Ledger household subscribers receive Privé access at no additional charge.

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as otherwise stated at the time of purchase. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period and you retain access through that date. We reserve the right to change pricing with at least thirty days’ advance notice to your registered email address.

5. User Content

You retain ownership of all trip data, documents, and other content you submit to the Service (“User Content”). By submitting User Content, you grant Twin Ledger a limited, non-exclusive license to store, process, and display that content solely to provide and improve the Service for you and the users you authorize.

You are responsible for the accuracy of your User Content and for ensuring that you have the right to upload any documents or files you submit. Do not upload content that contains sensitive personal information about others without their consent, or content that violates any law or third-party right.

6. Acceptable Use

You agree not to:

(a) use the Service for any unlawful purpose or in violation of these Terms;
(b) attempt to gain unauthorized access to any part of the Service or its underlying systems;
(c) scrape, crawl, or systematically extract data from the Service without our written permission;
(d) interfere with the integrity or performance of the Service;
(e) use the Service to transmit spam, malware, or other harmful content;
(f) resell or sublicense access to the Service without our written consent.

7. Third-Party Integrations

Plaid. The Voyager and Privé plans include optional integration with Plaid Technologies, Inc. (“Plaid”) to support expense tracking. Use of the Plaid integration is subject to Plaid’s end user privacy policy. Connecting a financial account through Plaid is entirely optional. We do not share your financial data with any third party beyond what is necessary to operate the integration within your account.

Travel data providers. Cruise and itinerary data is sourced from third-party distribution feeds. We make reasonable efforts to keep this data current but do not warrant its accuracy, completeness, or timeliness. Data availability is subject to change based on cruise line participation in standard inventory distribution agreements.

Other integrations. The Service may integrate with other third-party services over time. Your use of those integrations is subject to the applicable third-party terms.

8. Artificial Intelligence Features

The Service uses AI models (Claude Haiku and Sonnet, provided by Anthropic, PBC) to assist with document classification and travel expense estimation. These features are optional and run on isolated private instances. Your data is not used to train AI models and is not shared with Anthropic beyond the scope of individual API calls made to provide the feature. AI-generated outputs are provided for convenience and may not be accurate; you are responsible for verifying any AI-generated content before relying on it.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Intellectual Property

The Service, including its software, design, cruise research tools, and all content we provide (excluding User Content), is owned by Twin Ledger, Inc. and protected by applicable intellectual property laws. These Terms do not transfer any ownership rights to you. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written permission.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

CRUISE AND TRAVEL DATA PROVIDED THROUGH THE SERVICE IS FOR INFORMATIONAL PURPOSES ONLY. WE ARE NOT RESPONSIBLE FOR TRAVEL DISRUPTIONS, ITINERARY CHANGES, CANCELLATIONS, OR ANY OTHER EVENTS BEYOND OUR CONTROL.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TWIN LEDGER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Twin Ledger, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your User Content, or your violation of these Terms.

14. Termination

You may close your account at any time by contacting us at contact@twinledger.com. We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice, except in cases of serious or repeated violations where immediate termination may be warranted. Upon termination, your right to use the Service ceases. We will retain your data for a reasonable period before deletion in accordance with our Privacy Policy.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Idaho, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Ada County, Idaho, and you consent to the personal jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice within the Service at least thirty days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
